In accordance with the Polish regulations, the agreements transferring copyrights and exclusive license agreements, i.e. a key element of most IT services, shall be concluded in writing under pain of nullity. What is more, there are complex requirements as to the content of such agreements. The COVID-19 pandemic resulted in the popularization of activities undertaken remotely using ICT systems, including concluding agreements and remote work, the above situation significantly impeded the conclusion of agreements in writing under pain of nullity, and in the case of foreign contractors, it repeatedly prevented their conclusion.
In 2016, the document form of legal transactions was introduced to the Polish legal system and it should replace the written form with respect to copyright agreements under the pain of nullity. The document dorm provides appropriate guarantees in terms of certainty of transactions – it secures the consolidation of the content of the declarations, as well as the possibility of establishing the persons submitting them in the – and at the same time is devoid of excessive formalisms of the classic written form, enabling to use digital solutions applied by entities around the world. Sektor IT, zajmujący się tworzeniem i sprzedawaniem zindywidualizowanych rozwiązań IT dla biznesu, opiera się na rozwiązaniach formalnych znajdujących się w ustawie z dnia 4 lutego 1994 roku o prawie autorskim i prawach pokrewnych – niestety polskie prawo autorskie narzuca skomplikowane wymogi zarówno, co do treści umów (konieczność szczegółowego uregulowania pól eksploatacji, zasad wykonywania praw zależnych, prawa do modyfikacji), jak i jej formy. W roku 2016 do polskiego porządku prawnego została wprowadzona forma dokumentowa czynności prawnych i powinna ona zastąpić formę pisemną pod rygorem nieważności w odniesieniu do umów prawnoautorskich. Forma dokumentowa daje odpowiednie gwarancje w zakresie pewności obrotu – zabezpiecza utrwalenie treści oświadczeń, jak również możliwość ustalenia osób je składających – a jednocześnie pozbawiona jest nadmiernych formalizmów klasycznej formy pisemnej, pozwalając skorzystać z rozwiązań cyfrowych, którymi posługują się podmioty na całym świecie.
In SoDA’s opinion, the document form provides appropriate guarantees in terms of certainty of transactions – it secures the consolidation of the content of the declarations, as well as the possibility of establishing the parties to the agreement, while it is devoid of excessive formalisms of the classic written form, enabling to use digital solutions applied by entities around the world. It also complies with the regulations that can be found in most countries that protect intellectual property rights in an advanced manner (e.g. Germany, Switzerland, Italy).
