In accordance with the Polish regulations, the agreements transferring copyrights and exclusive license agreements, i.e. a key element of most IT services, shall be concluded in writing under pain of nullity. What is more, there are complex requirements as to the content of such agreements. The COVID-19 pandemic resulted in the popularization of activities undertaken remotely using ICT systems, including concluding agreements and remote work, the above situation significantly impeded the conclusion of agreements in writing under pain of nullity, and in the case of foreign contractors, it repeatedly prevented their conclusion.\u00a0<\/span><\/p>\n\n

In 2016, the document form of legal transactions was introduced to the Polish legal system and it should replace the written form with respect to copyright agreements under the pain of nullity. The document dorm provides appropriate guarantees in terms of certainty of transactions \u2013 it secures the consolidation of the content of the declarations, as well as the possibility of establishing the persons submitting them in the \u2013 and at the same time is devoid of excessive formalisms of the classic written form, enabling to use digital solutions applied by entities around the world.<\/span> \n \nSektor IT, zajmuj\u0105cy si\u0119 tworzeniem i sprzedawaniem zindywidualizowanych rozwi\u0105za\u0144 IT dla biznesu, opiera si\u0119 na rozwi\u0105zaniach formalnych znajduj\u0105cych si\u0119 w ustawie z dnia 4 lutego 1994 roku o prawie autorskim i prawach pokrewnych – niestety polskie prawo autorskie narzuca skomplikowane wymogi zar\u00f3wno, co do tre\u015bci um\u00f3w (konieczno\u015b\u0107 szczeg\u00f3\u0142owego uregulowania p\u00f3l eksploatacji, zasad wykonywania praw zale\u017cnych, prawa do modyfikacji), jak i jej formy. \n \nW roku 2016 do polskiego porz\u0105dku prawnego zosta\u0142a wprowadzona forma dokumentowa czynno\u015bci prawnych i powinna ona zast\u0105pi\u0107 form\u0119 pisemn\u0105 pod rygorem niewa\u017cno\u015bci w odniesieniu do um\u00f3w prawnoautorskich.\u200b Forma dokumentowa daje odpowiednie gwarancje w zakresie pewno\u015bci obrotu – zabezpiecza utrwalenie tre\u015bci o\u015bwiadcze\u0144, jak r\u00f3wnie\u017c mo\u017cliwo\u015b\u0107 ustalenia os\u00f3b je sk\u0142adaj\u0105cych – a jednocze\u015bnie pozbawiona jest nadmiernych formalizm\u00f3w klasycznej formy pisemnej, pozwalaj\u0105c skorzysta\u0107 z rozwi\u0105za\u0144 cyfrowych, kt\u00f3rymi pos\u0142uguj\u0105 si\u0119 podmioty na ca\u0142ym \u015bwiecie.<\/p>\n\n

\u00a0 \n \nIn SoDA’s opinion, the document form provides appropriate guarantees in terms of certainty of transactions \u2013 it secures the consolidation of the content of the declarations, as well as the possibility of establishing the parties to the agreement, while it is devoid of excessive formalisms of the classic written form, enabling to use digital solutions applied by entities around the world.
